Please read these Terms of Service ("Terms") carefully before using PepperMetrics ("the Service", "we", "us"). By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What PepperMetrics Is

PepperMetrics is a software-as-a-service (SaaS) subscription platform that monitors publicly accessible e-commerce websites for pricing, promotion, and shipping policy data. We provide automated monitoring, data extraction, and email alerts based on detected changes. We do not guarantee the accuracy, completeness, or timeliness of any scraped data.

2. User Responsibilities

By using PepperMetrics, you agree to the following:

• You are solely responsible for how you use competitive intelligence data obtained through PepperMetrics.
• You must not use the Service to engage in anticompetitive behavior, price fixing, coordinated pricing schemes, or any activity that violates applicable antitrust or competition laws.
• You must not resell, redistribute, sublicense, or publicly republish scraped data obtained through PepperMetrics without our explicit written consent.
• You must have a legitimate, lawful business reason for monitoring competitor websites. Using the Service to harass, defame, or harm a competitor's business is prohibited.
• You must not attempt to use PepperMetrics to access password-protected pages, bypass authentication systems, or retrieve any data that is not publicly visible to ordinary website visitors.
• You must not use the Service for any illegal purpose or in violation of any applicable laws or regulations.

3. Data Accuracy

PepperMetrics extracts data from publicly accessible web pages using automated methods including HTTP requests and AI-assisted text extraction. We do not guarantee 100% accuracy. Website layouts change, pages may load differently across requests, prices may be misread or missed entirely, and data may be delayed.

You should independently verify any data before making significant business decisions based on it. PepperMetrics is a monitoring and alerting tool, not a source of record. We are not liable for decisions made based on inaccurate, incomplete, or delayed data.

4. Acceptable Use and Web Scraping

PepperMetrics only accesses publicly available web pages — pages accessible to any visitor without authentication. Our scraper identifies itself with a transparent user-agent string ("PepperMetricsBot") and respects robots.txt directives. If a site disallows our bot in its robots.txt, we will not scrape it.

You acknowledge that:

• Some websites prohibit automated access in their own terms of service. You are responsible for reviewing the terms of any website you instruct PepperMetrics to monitor.
• PepperMetrics does not access login-protected pages, authenticated APIs, or any non-public data.
• We reserve the right to refuse to scrape, or stop scraping, any URL at our discretion.

5. Geographic Restrictions

PepperMetrics only supports monitoring of US-based e-commerce websites. Monitoring international websites — including any website whose domain uses a non-US country-code top-level domain (ccTLD) — is not permitted and is technically blocked by the Service.

Permitted domains include generic TLDs such as .com, .co, .net, .org, .io, .app, .store, and .shop. URLs with country-code TLDs (e.g. .co.uk, .de, .com.au) will be rejected at submission and cannot be added to the Service.

6. Subscriptions and Payments

The Service is offered on a subscription basis billed monthly in advance. All payments are processed securely through Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

• Free Trial: New accounts receive a 7-day free trial with full Pro features. No credit card is required to start. At the end of the trial, paid features are suspended until a plan is selected.
• Founding Member Pricing: Subscribers who lock in founding rates retain that pricing for the life of their subscription, provided it remains active and uninterrupted.
• Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months.
• Price Changes: We may update subscription pricing with 30 days' advance notice. Continued use after that date constitutes acceptance of the new pricing.

7. Intellectual Property

The PepperMetrics platform — including its software, design, and algorithms — is owned by us and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your own internal business purposes.

Data extracted from third-party websites is stored on your behalf and is available to you for your own business use. PepperMetrics claims no ownership over scraped content, which remains the property of the respective website owners.

8. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at [email protected] if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised use of your account credentials.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. Maintenance, third-party outages, and factors outside our control may result in downtime. We will make reasonable efforts to communicate planned maintenance in advance.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEPPERMETRICS AND ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PEPPERMETRICS IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless PepperMetrics and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

13. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or conduct we reasonably determine is harmful to the Service or other users. Upon termination, your right to access the Service ceases immediately. You may delete your own account at any time from the Settings page.

14. Modifications to These Terms

We may update these Terms at any time. We will notify you of material changes by email or by in-app notice at least 14 days before changes take effect. Continued use of the Service after that date constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Illinois.
